Colloque sur les développements européens récents en droit des compagnies

L'Académie Européenne du droit vient de m'informer de la tenue d'une conférence sur le thème des développement européens récents en droit des sociétés (Trier, 10-11 Mars 2008).

The objective of this annual seminar is to meet the requirements of lawyers involved in company law to keep themselves informed about the latest and most relevant developments in this field, in particular :
  • the long-awaited Directive 2007/36/EC on the exercise of certain rights of shareholders in listed companies, published in July 2007 ;
  • an important proposal to simplify the 3rd and 6th Company Law Directives by removing the requirements for expert reports in merger and divisions of companies ;
  • the Communication COM(2007)394 on a simplified business environment for companies in the areas of company law, accounting and auditing ;
  • the expected recommendation on shareholders’ rights ;
    the decision of the EC to drop the initiative on “one share - one vote” and the proposal for a Directive on the transfer of a company’s registered office from one Member State to another ; and
  • steps towards the European Private Company Statute (EPC). A report of the discussions at the conference organised by the European Commission on Monday 10 March focused exclusively on this topic will be given by Mrs. Joëlle Simon, member of the Company Law Expert Group.
